Army of Nannies Agency Portal Terms & Conditions (“Conditions”)

Please read these Conditions carefully as they govern the provision of an Agency Portal provided by us for you.

We may modify these Conditions from time to time and you should therefore ensure that you review these Conditions regularly.

These Conditions are set out in conjunction with our Full Terms and Conditions. Please ensure you have also read and reviewed these.

1 ABOUT US

  1. In these Conditions, “we”, “us” or “our” means Army of Nannies Ltd. When we refer to “Army of Nannies” this includes the website located at www.armyofnannies.com (Army of Nannies Website”), and all other Army of Nannies platforms including the Army of Nannies App owned and operated by us.
  2. Army of Nannies Limited (company number 12253448) is a company registered in England and Wales and our registered office and trading address is Flat 3, 219 Munster Road London, SW66BU. We operate the website (The Site) ArmyofNannies.com.

These Conditions apply to any purchase of Agency Portal Subscriptions and additional user accounts from us by you.

2 OUR CONTRACT WITH YOU

  1. These Conditions apply to any agency subscription and additional user account purchases on Army of Nannies and together with all other policies and terms posted on the Army of Nannies Website, set out the terms on which we enter into a contract with you to provide access to our platforms and search services.
  2. By making a purchase with us, you are deemed to have accepted these Conditions.

 

3 MAKING AN AGENCY SUBSCRIPTION PURCHASE ON ARMY OF NANNIES

  1. To make an agency subscription purchase on Army of Nannies you must provide a contact name, agency name, email and phone number.
  2. You agree that all the information supplied will be truthful, accurate and complete to the best of your knowledge. You also agree that you will not attempt to sign up in the name of any other individual or business.
  3. Agency Portal Subscription accounts are restricted to
    1) Childcare Agencies and their staff only (Childcare Agency)
    2) Business that with to promote their brand and services on our social channels (Content Partner)
  4. As a childcare agency, you agree that you will use the Agency Portal to search for nannies on behalf of your own agency or business only.  Additional user accounts may not be purchased for users outside of your direct organisation, and doing so may result in your Agency Portal Subscription being terminated with immediate effect.
  5. All personal information supplied by you as part of the sign-up process will be protected and used in accordance with the terms of our privacy policy.
  6. You warrant that:
    – You are a resident in the UK;
    – You are over 18 years of age at the time of making a purchase;
    – You are the owner or authorised employee of a Childcare Agency or a Content Partner
    – You will not upload any files to Army of Nannies containing a virus and/or corrupted data;
  7. We reserve the right to offer alternative billing structures for certain businesses and content partners.

 

4 OUR RIGHTS AND OBLIGATIONS

  1. Upon purchase of an Agency Portal Subscription (the Lead Account), you will be able to message jointly approved nannies on the site, unlimited, whilst your subscription is valid.
  2. Upon purchase of additional user memberships, your team members will enjoy the same messaging privileges as the lead account, whilst it remains valid. Once purchased it is your responsibility to allocate your additional memberships by providing full and accurate email addresses.
  3. Upon creation of a completed search profile, we shall provide a search service with reasonable care and skill in a professional and timely manner. However, you acknowledge and accept that it is technically impossible to guarantee that Army of Nannies will be continuously available online.
  4. We reserves the right to pause a search without notification, and regardless of subscription, if a search is deemed to be dormant or unlikely to succeed.
  5. From time to time, we will need to carry out maintenance on our equipment and systems, and we shall use our reasonable endeavours to ensure that, in so doing, minimum disruption to any search is caused.
  6. We will use reasonable endeavours to remedy faults or errors in the Army of Nannies website or app as soon as possible. You acknowledge and accept that once a fault or error has been reported to us, it may take up to 48 hours for us to investigate and rectify the problem.
  7. We may at any time vary the technical specifications of Army of Nannies (or any parts of them) for operational reasons;
  8. Agencies and Content Partners that secure an Agency Portal subscription also benefit from managed access to our social groups.

 

5 CHARGES AND PAYMENTS 

  1. All Agency Portal Subscription packages pertain to full membership as follows:
  2. Full member status enables profile to profile messaging between consenting/jointly approved profiles.
  3. Once the contact details of a consenting profile are secured, users can continue to communicate with that profile either directly or through the site, irrespective of membership status.
  4. Lead accounts
  5. The account that pays for the subscription holds Lead Account status for the Agency. 
  6. Only a Lead Account can add additional users to their account. These can only be purchased after a subscription package is secured and if the subscription package is live. 
  7. Lead Accounts can only add additional users who work for their Childcare Agency. You may be asked to evidence the working relationship.
  8. If the Lead Account is not paid, all attached users lose their membership status and messaging rights until the subscription is renewed.
  9. If the Lead Account user leaves, billing responsibilities and Lead Account status may be transferred to another team member from their AoN Dashboard.

    1 month rolling membership £40
    3 month rolling membership £100
    Additional user seats £10 / month each
  11. Subscriptions are purchased on an automatic renewal basis and may be cancelled at any time.  To cancel a subscription, please email hello@armyofnannies.com 
  12. All site payments are processed through Stripe, our online payments service provider.  As such, we do not hold your bank account or card details.  
  13. All payments will be received in advance of securing our subscription packages. 
  14. If payment is cancelled, for whatever reason, we reserve the right to suspend all subscription packages immediately.  
  15. If a charge is disputed, the business or intermediary must contact us within 7 days of the charge that is in dispute. To raise a dispute with us, please email hello@armyofnannies.com with all the details you have available. 
  16. We will under no circumstance be liable to refund all or part of the Charges in the event of the cancellation or termination of the agreement (for any reason). 
  17. We have the right to change our products, charges, pricing model, and rates at any time and for any reason, but any revised rates shall not apply to any subscription packages purchased with us before the publication of the revised products and charges rates.
  18. Agency Portal Membership also provides managed access to a suite of Facebook groups administered by Army of Nannies.
    1) Post approval is in no way guarenteed and the decision of the aministrator of the group(s) is final.
    2) We advise Childcare Agencies and Content Partners post to groups no more that twice a week to avoid spamming.  However, excepetions can be made by joint agreement with the Army of Nannies team.  Contact hello@armyofnannies.com to find out more.
  19. Childcare Agencies operating a franchise model will require a portal subscription for each participating franchise.
  20. Content Partners, wishing to secure managed access to our social groups are advised to secure the monthly subscrition package.

 

6 OUR RIGHT TO TERMINATE THE CONTRACT

  1. We shall be entitled to terminate the contract with you and stop your search at any time. We will provide you with a stop notice. 
  2. We may immediately suspend or terminate the contract and stop a search where you breach a term of these Conditions;
    – Or if we we reasonably suspect that you are using the platform to search on behalf of multiple agencies or businesses.
    – Or where the agency has requested a nanny remove their profile from Our Site.
    – If in our reasonable opinion, we have cause to believe that you have been abusive to our staff or we receive a complaint from a third party regarding your conduct across any of our communication channels, including the website, app and social media channels;
    – Any competent law enforcement or compliance authority instructs, advises or makes a recommendation to us to stop your contract.
  3. If we stop your search, in accordance with Condition 5.2 above, you will not be entitled to any refund of memberships already purchased.

 

 7 YOUR RIGHT TO CANCEL AND REFUNDS

  1. No refunds will be given unless you cancel due to our breach of the contract.
  2. Subscriptions are automatically renewed and can be cancelled at any time. You will retain access until your paid-for period comes to an end.

 

8 BROADCASTING YOUR AGENCY AND SEARCHES  

  1. When a search is live, you agree to allow us to create a templated advert from the anonymised (display name and first half of postcode) information you have provided in the search template. These adverts may be placed across all Army of Nannies channels, including desktop, mobile and tablet, and the third-party social media platforms on which Army of Nannies are active.
  2. You are solely responsible for the copy that forms your search and any subsequent templated adverts we create (whether paid for or free) unless explicitly agreed otherwise by us.
  3. Unless otherwise agreed, templated adverts will appear under the Army of Nannies banner and will not feature the name of the agency that posted the role through the Agency Portal. 
  4. Once an agency is accepted onto the portal, the agency is permitted to show an ‘Agency Approved’ badge on their site that points to a page that explains the checks we put in place before being accepted onto the portal.  This badge can only be displayed while the Agency’s subscription is live.

 

9 LIABILITY

  1. Nothing in these Conditions shall exclude or restrict our liability for death or personal injury caused by our negligence, for fraudulent misrepresentation and/or for any other liability which we are not permitted to exclude or limit by law.
  2. If we fail to comply with these Conditions, we are responsible for loss or damage that you suffer as a foreseeable result of our breach of the Conditions or our negligence, but we are not responsible for any loss or damage that is not foreseeable or for any loss or damage not caused by any breach on our part. Loss or damage would be foreseeable if it were an obvious consequence of our breach or if it were contemplated by you and us at the time the contract was formed.
  3. We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, malicious or impairing computer programs or other technologically harmful material that may affect Army of Nannies, your purchase and/ or may infect your computer equipment, computer programs, data or other proprietary material due to your use of Army of Nannies or your downloading of any material posted on it or on any website linked to it.
  4. You agree that any questions and complaints regarding your live search will be your responsibility only and that we do not have any liability in this regard.
  5. We shall not be liable to you for any delay in performing and/or any failure to perform our obligations to you if the delay or failure is due to any event outside of our reasonable control (including without limitation, any act of God, fire, flood, explosion, storm, pandemic, epidemic or natural disaster, strike, terrorist attack or threat of terrorist attack, infrastructure failure or power failure, denial of service attack, failure of public or private telecommunications networks).
  6. Nothing in these Conditions affects your legal rights. Advice about your legal rights is available from your local Citizens Advice Bureau or Trading Standards.

 

10 DATA PROTECTION AND SECURITY

  1. You acknowledge and agree that by making a purchase with us, you will provide us with and we will collect from you certain personal data relating to you (e.g. name, company address and contact details). This personal data will be processed in accordance with our Privacy Policy and may be used for a number of purposes (as further detailed in our Privacy Policy). 11 GENERAL

  1. We may transfer our rights and obligations under these Conditions to a third party and we will always notify you in writing if this happens. This will not affect your rights or our obligations under these Conditions.
  2. Each of the paragraphs of these Conditions operates separately. If any court or relevant authority decides that any of them or any part of them are unlawful, the remaining paragraphs or parts will remain in full force and effect.
  3. If we fail to insist that you perform any of your obligations under these Conditions, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive an obligation by you, we will only do so in writing and that will not mean that we will automatically waive any later default by you.
  4. These Conditions form a contract between you and us. No other person shall have any rights to enforce them.
